Terms of Service — Renovate Success

Renovation Success does NOT claim ANY ownership rights in the text, files, images, photos, video, sounds, musical works, User Data, or other data, content, information, or materials that you input, whether or not temporarily, on or through the Services (collectively, "Your Content").

Renovation Success will not begin training its machine learning and artificial intelligence algorithms and models on Your Content and the structure and configuration of your Applications until October 1, 2024.

1 Agreement and Acceptance

1.1 These Terms of Service (the Agreement) govern your access to and use of the Renovate Success website, platform, applications, APIs, and related services (collectively, the Services). By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services.

1.2 Parties. This Agreement is between you (an individual or entity that registers for or uses the Services) and Renovate Success (“Renovate Success,” “we,” or “us”).

1.3 Eligibility. The Services are available only to persons aged 13 or older. If you are between 13 and the age of majority in your jurisdiction, a parent or guardian must review and accept this Agreement on your behalf. We may refuse service or change eligibility criteria at our discretion.

2 Definitions
  • Account Information: registration data you provide (e-mail, user ID, password, billing information).
  • Your Content: content you upload, submit, or otherwise provide to the Services (including Input and Generated Content).
  • Input: Your Content you elect to provide to Renovate Success AI features.
  • Generated Content: content produced by Renovate Success AI features in response to Input.
  • Paid Services: Services that require payment as described in Section 6.
  • End User: a person who uses an Application you publish.
3 Account Registration and Security

3.1 Accuracy of Information. You must provide accurate, current, and complete Account Information and keep it updated.

3.2 Account Responsibility. You are responsible for all activity that occurs under your account. Keep your credentials confidential and enable multi-factor authentication where available.

3.3 Unauthorized Use. Notify support@renovatesuccess.com immediately of any unauthorized use or suspected breach. We will investigate and take reasonable steps required by law.

4 Use of the Services and Applications

4.1 Applications. The Services enable you to create and publish Applications for End Users. By default, Applications are public unless you subscribe to a plan that permits private/internal Applications.

4.2 Public vs Private Applications. If you designate an Application as private (an Internal App), you represent that you will not publish it as a public Application. Renovate Success may reclassify Applications in its discretion and apply applicable pricing.

4.3 Acceptable Use. You will not use the Services to: (a) violate laws or third-party rights; (b) transmit malware or spam; (c) attempt to access other accounts; (d) scrape or crawl the Services; (e) interfere with the Services’ operation; or (f) reverse engineer the Services except as permitted by law.

5 User Data, Privacy, and Compliance

5.1 User Data Processing. You are responsible for complying with all applicable laws (including privacy laws) for User Data you Process using the Services. You must provide required notices and obtain consents from End Users where applicable.

5.2 Data Processing Addendum. If Renovate Success Processes User Data on your behalf and applicable law requires specific controller/processor terms, the parties will execute Renovate Success’s standard Data Processing Addendum (DPA).

5.3 Security. We implement reasonable administrative, technical, and physical safeguards to protect data. You should enable available security features (e.g., MFA) and promptly report suspected breaches.

6 Intellectual Property and Content

6.1 Ownership. You retain ownership of Your Content. Renovate Success owns the Services, platform, and all associated intellectual property not expressly granted to you.

6.2 Limited License to Operate. By using the Services you grant Renovate Success a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, and display Your Content as necessary to provide the Services, maintain security, and perform backups. This license ends when you delete the content, except to the extent Renovate Success has already acted in reliance on or distributed that content in good faith.

6.3 Public Content License. If you post content to a public area of the Services, you grant Renovate Success a non-exclusive license to display and distribute that content on the Services for as long as it remains posted. This license terminates when you remove the content, except for copies already distributed in good faith.

6.4 Feedback. If you provide Feedback (comments, suggestions, or ideas), you grant Renovate Success a worldwide, royalty-free, perpetual license to use and incorporate that Feedback into the Services.

7 AI Features, Input, and Generated Content

7.1 Ownership of Generated Content. Generated Content is treated as part of Your Content; you retain ownership of Generated Content subject to the licenses in this Agreement.

7.2 Use of Your Content for Model Training (Limited and Transparent). You may elect to permit Renovate Success to use Your Content and the structure/configuration of your Applications to train, evaluate, and improve Renovate Success models and services. If you permit training, you grant Renovate Success a non-exclusive, worldwide, royalty-free license to use Your Content solely to provide, secure, and improve the Services (including model evaluation and product improvement). Renovate Success will not use Application data sources that identify an individual for model training without explicit consent.

7.3 Opt-out. To opt out of Renovate Success using Your Content for model training, contact support@renovatesuccess.com. Renovate Success will cease using Your Content for future training within 30 days of receiving your opt-out request. Renovate Success is not required to remove or revert model training that occurred prior to the effective date of your opt-out.

7.4 Reformatting and Service Operation. Renovate Success may reformat or transform Your Content and Generated Content as necessary to provide the Services.

8 Restrictions and Prohibited Conduct

You will not: (a) infringe third-party rights; (b) violate export controls or sanctions; (c) transmit harmful code; (d) run automated scraping or crawling; (e) copy or store significant portions of the Services; or (f) attempt to obtain source code or underlying algorithms.

9 Paid Services, Billing, and Refunds

9.1 Pricing and Payment. Some Services are Paid Services. Current pricing is posted at https://www.renovatesuccess.com/pricing. We use a third-party payment processor (currently Stripe, Inc.) to process payments.

9.2 Authorization to Charge. By selecting a Paid Service, you authorize Renovate Success and our payment processor to charge your chosen payment method for all fees and applicable taxes.

9.3 Auto-renewal and Cancellation. Subscriptions automatically renew for the same term at the then-current rate unless canceled at least 48 hours before the renewal date. To cancel, contact support@renovatesuccess.com. Cancellations take effect at the end of the current billing period. Fees already paid are non-refundable except as required by law.

9.4 Free Trials and Promotions. Free trials must be used within the specified trial period. Cancel before the trial ends to avoid charges.

9.5 Variable Pricing and Overage. Some plans include usage-based pricing. You are responsible for fees incurred by your Applications’ utilization. Renovate Success may, in its discretion, issue non-refundable credits for excess usage but is not obligated to do so.

10 Contractor Facilitation and Disclaimers

10.1 Platform Role. Renovate Success and any affiliated facilitator (for example, Business Builders Connection) act only as platforms connecting users and independent contractors. We do not employ contractors and are not responsible for their performance.

10.2 No Contractor Warranty. Renovate Success makes no representations or warranties regarding the quality, accuracy, completeness, timeliness, or legality of any contractor work. Users should vet contractors, obtain written agreements, and verify permits and insurance.

11 Warranties and Disclaimers

11.1 Limited Warranty. Renovate Success warrants that it will provide the Services in a professional manner consistent with industry standards. Other than this limited warranty, the Services are provided AS IS and AS AVAILABLE.

11.2 Disclaimer. To the fullest extent permitted by law, Renovate Success disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12 Limitation of Liability

12.1 Cap on Liability. To the maximum extent permitted by law, Renovate Success’s aggregate liability for claims arising out of or related to this Agreement will not exceed the fees paid by you to Renovate Success in the 12 months preceding the claim (or $100 if you have not paid fees).

12.2 Excluded Damages. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, except for liability arising from gross negligence, willful misconduct, or Renovate Success’s data protection obligations.

13 Indemnification

You will indemnify, defend, and hold Renovate Success and its officers, directors, employees, and agents harmless from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) your breach of this Agreement; (b) your violation of applicable law; or (c) Your Content or your use of the Services.

14 Termination and Suspension

14.1 Termination for Cause. We may suspend or terminate your access to the Services for breach of this Agreement, suspected fraud, or legal reasons. We will provide notice where required by law.

14.2 Effect of Termination. Upon termination you will lose access to the Services. You may export Your Content within a specified period after termination; thereafter Renovate Success may delete retained data in accordance with our Data Retention Policy.

14.3 Survival. Sections that by their nature survive termination (including Intellectual Property, Warranties, Limitation of Liability, Indemnity, and Governing Law) will survive.

15 Modifications to the Agreement

We may modify this Agreement from time to time. If we make material changes, we will provide notice (for example, by e-mail or in-product notice) and post the updated Agreement with a new “Last updated” date. Continued use of the Services after the effective date constitutes acceptance.

16 Governing Law and Dispute Resolution

16.1 Governing Law. This Agreement is governed by the laws of the State of California without regard to conflict of law rules.

16.2 Venue. Except as otherwise agreed in writing, disputes will be resolved in the state or federal courts located in Alameda County, California.

17 Export Controls and Sanctions

You will comply with all applicable export control and economic sanctions laws. You will not use the Services in violation of such laws.

18 Data Retention and Deletion

We retain data as necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce agreements. Our Data Retention Policy (available on our site) describes retention periods and deletion procedures. Upon account termination, you may request export of Your Content within the timeframe specified in the Data Retention Policy.

19 Notices and Contact Information

19.1 Notices. We may provide notices by e-mail, in-product messaging, or by posting on our website.

20 Miscellaneous

20.1 Entire Agreement. This Agreement (including any DPA and other referenced documents) constitutes the entire agreement between you and Renovate Success regarding the Services.

20.2 Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.

20.3 Assignment. Renovate Success may assign this Agreement in connection with a merger, acquisition, or sale of assets. You may not assign this Agreement without our prior written consent.
